1. Acceptance of Terms

By accessing or using the AutoBBCC Inc. website at autobbcc.com ("Site") or applying to participate in the AutoBBCC Inc. platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or Platform.

These Terms apply to all visitors, applicants, manufacturer partners, and creator partners of AutoBBCC Inc.

2. Platform Overview

AutoBBCC Inc. is a manufacturer-direct auto parts platform that connects auto parts manufacturers with a network of KOS (Key Opinion Sellers), KOL (Key Opinion Leaders), and DIY creators. The Platform enables manufacturers to list and sell products without advertising fees or middlemen, while creators earn commissions for driving sales through their content and affiliate networks.

3. Eligibility

To apply to join AutoBBCC Inc. as a manufacturer or creator partner, you must be at least 18 years of age, have the legal authority to enter into binding agreements, and comply with all applicable laws and regulations in your jurisdiction. AutoBBCC Inc. reserves the right to accept or reject any application at its sole discretion.

4. Manufacturer Partner Terms

Manufacturers accepted onto the Platform agree to: provide accurate and complete product information including descriptions, specifications, and pricing; maintain adequate inventory to fulfill orders; ship products through AutoBBCC Inc.'s designated logistics network; comply with all applicable product safety and labeling regulations; and maintain a minimum product quality standard as determined by AutoBBCC Inc.

The revenue split for manufacturer partners is as follows: manufacturers retain 40% of each sale, 20% covers platform operations and logistics, and 40% is distributed as creator commissions (20% Level 1, 10% Level 2, 10% Level 3).

5. Creator Partner Terms

Creator partners accepted onto the Platform agree to: promote AutoBBCC Inc. products honestly and accurately; disclose their affiliate relationship in accordance with applicable advertising disclosure laws (including FTC guidelines); not engage in spam, misleading advertising, or other deceptive practices; and maintain their content channels in good standing.

Commission rates are: 20% for Level 1 (direct sales), 10% for Level 2 (referred creator sales), and 10% for Level 3 (sub-referred creator sales). Commission payments are subject to AutoBBCC Inc.'s payment schedule and minimum payout thresholds.

6. Prohibited Activities

Users of the AutoBBCC Inc. Platform may not: engage in fraudulent transactions or manipulate sales data; violate any applicable laws or regulations; infringe on the intellectual property rights of others; upload or transmit malicious code or content; attempt to gain unauthorized access to the Platform; or use the Platform in any way that could damage, disable, or impair its operation.

7. Intellectual Property

All content on the AutoBBCC Inc. Site, including text, graphics, logos, and software, is the property of AutoBBCC Inc. or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without express written permission.

8. Limitation of Liability

To the fullest extent permitted by law, AutoBBCC Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or these Terms. AutoBBCC Inc.'s total liability to you for any claims arising under these Terms shall not exceed the total commissions or fees paid by or to you in the three months preceding the claim.

9. Termination

AutoBBCC Inc. reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, any outstanding commissions earned prior to termination will be paid according to the regular payment schedule, subject to any offsets for fraud or policy violations.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New York County, New York.

11. Changes to Terms

AutoBBCC Inc. reserves the right to modify these Terms at any time. We will notify active partners of material changes via email. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms.
